BYLAWS of THE GREATER CABARRUS READING ASSOCIATION
an affiliate of North Carolina Reading Association and the
INTERNATIONAL READING ASSOCIATION
Adopted October 1972—Revised 2008.
ARTICLE I –NAME and AFFILIATION
The council shall be called the Greater Cabarrus Reading Association serving the area of Cabarrus County, and shall be a professional organization for individuals concerned with the promotion of and improvement of literacy at home, in the schools, and the community.
The Greater Cabarrus Reading Association will be affiliated with the International Reading Association under the policies established by the International Reading Association.
ARTICLE II – NATURE, PURPOSE, AND GOALS
Section 1—Nature: The Greater Cabarrus County Reading Association shall be a professional organization of individuals who are concerned with the improvement and enhancement of literacy and reading instruction.
Section 2—Purpose: The Greater Cabarrus Reading Association is committed to promoting reading and literacy as essential tools and sources of enjoyment for everyone.
Section 3—Goals: The goals of the Reading Association are to encourage the study of the factors that influence progress in reading at all educational levels, to disseminate information related to reading, and to sponsor conferences and meetings planned to implement the purposes and goals of the local, state, and international reading associations.
ARTICLE III – MEMBERSHIP AND DUES
Section 1 – Eligibility: Membership in the Greater Cabarrus Reading Association shall be open to all persons engaged in the teaching or supervision of reading at any school level, to parents, and to all others interested in the purpose of the council regardless of race, religion, or sex.
Section 2 – Active Members: Membership in the Greater Cabarrus Reading Association shall become effective upon payment of dues for the fiscal year beginning July 01 and ending June 30.
Section 3 – Association Dues: Dues for annual membership in the Reading Association shall be $15.00. Dues are payable to the treasurer for the fiscal year on or after the preceding May 1 and shall apply to the year beginning July 1 and ending June 30.
ARTICLE IV – OFFICERS
Section 1 – Officers: The elected officers of the Reading Association shall be a president, a president-elect, a vice president, a past president, a treasurer, secretary, and membership director. Any member in good standing, who is also a member of the International Reading Association, is eligible to be an officer of the council.
Section 2 – Term of Office: The term of the president-elect shall be one year. The president-elect shall then automatically succeed to the office of president for one year. At the expiration of his year in office, the president shall become the past president for a period of one year. The president shall automatically succeed to the office of past president. The term of the past president shall be for one year. The terms of the treasurer and secretary shall be one year. However, these officers may serve additional terms.
Section 3 – Time of Assuming Office: Each officer shall assume the duties of office on July 1, following his election at the last meeting of the school year and shall continue to serve for the duration of his term.
Section 4 – Duties of the President: The president shall act as the executive officer of the Greater Cabarrus Reading Association. He or she shall act as ex officio as chairperson of the executive board, and shall exercise general leadership and supervision over the affairs of the council, implementing its purposes.
Section 5 – Expiration of President’s term: At the expiration of his year in office, the president shall automatically become the past president for a period of one year. The past president shall serve as a member of the executive board.
Section 6- Duties of the President-elect: The president-elect shall serve as a member of the Executive Board and chair of the program committee. In the event of the president’s absence, incapacity, or resignation, the president-elect shall assume and perform the president’s duties. Should the office of president become vacant, the president-elect shall become president immediately and shall serve the unexpired portion of the president’s term in addition to the year for which he/she was elected. If the president and president –elect are incapacitated or resign, the secretary shall serve as acting president until a special or next regular election can be held.
Section 7- The term of office of the vice president shall be one year. The vice president shall then automatically succeed to the office of president-elect for one year, and, at the expiration of this term as president-elect, shall become president for a period of one year. The term of treasurer and secretary shall be one year; however, these two officers may serve a second term immediately following their first.
Section 8 – Duties of the Treasurer: The treasurer shall execute the duties essential to the maintenance of accurate and up-to-date financial records; shall have custody of the funds of the council, which shall be deposited in the name of Greater Cabarrus Reading Association ; shall collect dues and other monies due the council; shall report to the secretary the names of members who need to be reminded to pay their dues; shall sign checks and drafts on behalf of the association for the disbursement of funds in accordance with approval of the assembly (members); shall cooperate fully with an annual audit, and within thirty days of retirement from office, turn over to the successor all funds, accounts, and financial records .
Section 9 – Duties of the Secretary: Duties of Secretary: The secretary shall record the events of all council/affiliate meetings and meetings of the Board of Directors; keep a permanent record of the minutes of all meetings; and handle correspondence and notices. The minutes of all general meetings and all executive board meetings shall be sent to the board within a week of the meeting. The permanent record shall be turned over to the new recording secretary within thirty days of his retirement from office.
Section 10 – Duties of the Membership Director: The membership director shall keep an accurate record of total membership, including latest addresses and phone numbers, maintain contact with Greater Cabarrus Reading Association representatives, collect dues to be forwarded to the treasurer, and create a membership database, and meet the membership deadlines set forth by the North Carolina Reading Association. Membership records shall be turned over to the new director within thirty days of the annual installation.
ARTICLE V – EXECUTE BOARD – BOARD OF DIRECTORS
Section 1 – Function: The Executive Board shall exercise general supervision over the property and affairs of the Reading Council. It shall have the general power to administer the affairs of the association between general business meetings and shall report its actions to the next general meeting. Its actions shall have the approval of the members at a general business meeting.
Section 2 – Composition: The Executive Board shall consist of the past president, the president-elect, the president, the treasurer, the secretary, the membership director, and the chairpersons of standing committees.
Section 3 – Meetings: The first Executive Board meeting shall be held no later than September in order that the standing committees may be appointed with a greater part of the official year remaining for their specific work. In addition, the yearly calendar shall be established with the program committee. The executive board shall be empowered to hold such meetings, on the call of the president, as it shall deem necessary, and at such times and places as the president may determine. No less than three meetings shall be held each year. Immediately before or after a general meeting is the recommended time for executive board meetings.
Section 4 – Quorum: A Quorum for a meeting of the board shall consist of five members.
Section 5- Communication: The council shall institute suitable mechanisms to facilitate communications with and between its members regarding council activities, affairs, issues, and other matters.
ARTICLE VI – ASSEMBLY
Section 1 – Composition of the Assembly: The assembly shall consist of the Board of Directors and all other members of the Reading Council.
Section 2 – Function: The assembly shall be the legislative body of the Greater Cabarrus Reading Association and shall have the full power and authority over the affairs of the council, within the limits set by these bylaws. It shall have authority to review decisions made by the executive board and to accept or reject them.
Section 3 – Quorum: A quorum shall consist of a majority of those present and eligible to vote in the assembly.
Section 4 – Meetings: The assembly of Greater Cabarrus Reading Association shall have a minimum of three meetings or activities each year.
Section 5 – Notification of Meetings: One week in advance of each of the three meetings, the secretary shall notify all members of the date, time, and place of the meeting.
Section 6 – Amendments to the Bylaws: The assembly of the Greater Cabarrus Reading Association shall have the power to amend these bylaws on an as needed basis as provided in Article XII.
ARTICLE VII – ELECTIONS
Section 1 – Mode of Election: All officers, except the president and committee chairpersons shall be elected at the annual meeting in May. After the slate from the nominating committee has been presented, the president shall give an opportunity to propose nominations from the floor for each office. If nominations are not given from the floor, the secretary shall be directed to cast a unanimous vote. If there shall be more than one nominee for any office, voting shall be by ballot. A majority of the votes cast shall be necessary for election.
Section 2 – Nominating Committee: The nominating committee shall prepare a slate of nominees annually. Advanced consent from each candidate shall be secured by the nominating committee.
Section 3 – Each elected member’s term shall begin on July 1, following the annual meeting in May.
ARTICLE VIII – COMMITTEES
Section 1 – Standing Committees: There shall be such standing committees as specified in Sections 2 through 5 of this article.
Section 2 – Publicity Committee: The publicity committee shall publicize all meetings and work with the local media. The committee shall also send articles to the state chairpersons for publication.
Section 3 – Program Committee: The program committee shall make plans for all meetings except the annual meeting, which shall be planned by the president and program committee and approved b y the executive board. The president-elect shall be chairperson of this committee. This committee shall be responsible for a calendar, which will contain the year’s program with meeting dates, time, and places.
Section 4 – Nominating Committee: The nominating committee shall be composed of at least three members appointed by the president and approved by the executive board. The nominating committee shall prepare a slate of nominees annually. Advance consent from candidates shall be secured by the nominating committee.
Section 5 – Mini-conference Committee: The mini-conference committee shall plan and organize for the yearly mini-conference. The co-chairs shall be appointed by the current president.
Section 6 – The Number of Standing Committees: The number of standing committees may be increased or decreased upon the recommendation of the Executive Board and approval shown by the majority of votes cast at the assembly.
Section 7 – Mode of Appointment and Terms: The members of the standing committees shall be appointed by the president with the approval of the Executive Board.
Section 8 – Chairs: The chairpersons of each standing committee shall be appointed yearly by the president with the approval of the Executive Board, except as specified in article IV, Section 6.
Section 9 – Temporary Committees: Temporary or special committees may be authorized from time to time by the Executive Board at a general meeting and shall serve for a specified period.
Section 10 – Number of Members: The number of members of each temporary committee may be determined by the executive board or the association members at a general meeting.
ARTICLE IX – REPRESENTATION AT THE ANNUAL ASSEMBLIES
Section 1 – Representation at annual state reading association convention: The representation shall be in accordance with that specified by the bylaws of the North Carolina Reading Association.
Section 2- Council Representation and Affiliation: The President, in consultation with the Board of Directors, may appoint a council representative(s) to joint committees and meetings of other organizations having objectives allied to those of the council and of the International Reading Association.
ARTICLE IX – DISSOLUTION
The council may petition the International Reading Association for dissolution or for merger with another council, by vote of its membership in accordance with council policy. If granted, the council will adhere to the International Reading Association’s policies for dissolution or merger of councils and affiliates. In case of the dissolution of this council, any assets remaining after paying or making provision for the payment of all the liabilities of the association will revert to the International Reading Association.
ARTICLE XII – AMENDMENTS
Section 1 – Origin: Amendments to the bylaws shall be proposed by 1) a quorum of the Executive Board, or 2) a majority of the voting members present at a regular business meeting of the Greater Cabarrus Reading Association.
Section 2 – Amendments: This governing document may be amended by an affirmative vote of two thirds of the voting members present at the council/affiliate annual general meeting.
Section 3 – Incorporation: Amendments adopted as described in Section 2 shall be incorporated into these bylaws.
